COACHING AGREEMENT

Last updated: 2 June 2026

This Coaching Agreement ("Agreement") is entered into as of the date of acceptance between Veronica O'Donnell ("Coach") and the Client ("Client").

The Coach agrees to provide coaching services to the Client. The focus of the coaching may include topics, goals, outcomes, or areas of development identified by the Client and agreed upon between the Coach and the Client from time to time.

This Agreement becomes effective on the date it is accepted by the Client, whether by signature or electronic acceptance.

1. Description of Coaching

Coaching is a partnership (defined as an alliance, not a legal business partnership) between the Coach and the Client in a thought-provoking and creative process that inspires the Client to maximise personal and professional potential.

The coaching relationship does not create an employment, agency, fiduciary, partnership, joint venture, contractor, or other legal relationship between the parties.

Coaching is designed to facilitate the creation, clarification, development, and achievement of personal, professional, business, or other goals identified by the Client.

The purpose of coaching is to support the Client in developing awareness, identifying opportunities, exploring perspectives, making decisions, and implementing strategies and actions determined by the Client.

Coaching does not involve the provision of legal advice, financial advice, medical advice, psychological treatment, psychiatric treatment, counselling, psychotherapy, diagnosis, crisis intervention, or any other regulated professional service.

The Client acknowledges that coaching is educational and developmental in nature and that responsibility for all decisions, actions, and outcomes remains with the Client.

2. Coach-Client Relationship

A. Ethics

The Coach agrees to maintain the ethics and standards of behaviour established by the International Coach Federation ("ICF") as amended from time to time.

The ICF Code of Ethics is available at coachfederation.org/ethics.

It is recommended that the Client review the ICF Code of Ethics and the applicable standards of behaviour.

B. Client Responsibility and Liability

The Client is solely responsible for creating and implementing their own physical, mental, and emotional wellbeing, decisions, choices, actions or inaction, and results arising out of or resulting from the coaching relationship, coaching sessions, and interactions with the Coach.

To the maximum extent permitted by law, the Client agrees that the Coach is not liable or responsible for any actions or omissions, or for any direct or indirect result of any services provided.

The Client understands coaching is not therapy and does not substitute for therapy, professional mental health treatment, medical care, or crisis intervention and does not prevent, cure, or treat any mental disorder or medical disease.

The Client acknowledges that coaching does not involve the diagnosis or treatment of mental disorders as defined by recognised diagnostic frameworks and is not a substitute for counselling, psychotherapy, psychoanalysis, mental health care, substance abuse treatment, or professional advice provided by legal, medical, financial, or other qualified professionals.

The Client is encouraged to seek professional mental health care and medical care where appropriate.

The Client acknowledges it is the Client's exclusive responsibility to seek such independent professional guidance as needed.

If the Client is currently under the care of a mental health professional, it is recommended that the Client promptly inform that professional of the nature and extent of the coaching relationship.

If the Coach reasonably believes the Client requires professional mental health or medical support, the Coach may recommend that the Client seek such support and may pause or terminate coaching.

The Coach is not responsible for ensuring the Client seeks or receives such support.

The Client accepts full responsibility for their decisions, actions, wellbeing, and outcomes arising from the coaching relationship.

The Client acknowledges that all decisions, actions, and outcomes arising from coaching remain the Client's sole responsibility.

C. Scope of Responsibility

The Client acknowledges that coaching may involve different areas of life, including but not limited to work, finances, health, relationships, education, recreation, and personal development.

Deciding how to handle those areas, incorporate coaching principles, and implement choices arising from coaching remains exclusively the Client's responsibility.

All decisions to act or not act on coaching insights are made at the Client's sole discretion.

D. Participation

The Client agrees to communicate honestly, be open to feedback and assistance, and create the time, energy, and commitment necessary to participate fully in the coaching process.

The Coach is not responsible for the Client's level of participation or implementation.

Coaching does not guarantee specific outcomes or results and remains dependent on the Client's participation, commitment, and actions.

3. Services

The parties agree to engage in coaching services, which may include individual coaching sessions delivered via video conferencing, telephone, and/or in person as agreed.

The Coach reserves the right to deliver sessions via an alternative format where reasonably necessary.

Any reference to a specific coaching package, program, or number of sessions is indicative only and does not guarantee a minimum or maximum number of sessions unless separately agreed in writing.

Between scheduled sessions the Coach may, at the Coach's discretion, be available by email, text message, or other agreed communication methods.

No response time is guaranteed.

Between-session communications are not intended for crisis, emergency, or urgent support.

Between sessions, communication is intended for administrative matters, brief questions, or agreed coaching support and does not constitute unlimited access to the Coach.

The Coach reserves the right to determine the scope and availability of between-session support.

4. Schedule and Fees

This Agreement commences on the date of acceptance and continues until terminated in accordance with this Agreement unless otherwise required by law.

The applicable coaching fees, payment arrangements, or reciprocal coaching arrangements shall be agreed between the parties.

Each coaching session will generally be approximately forty-five (45) to sixty (60) minutes unless otherwise agreed.

This Agreement does not create an ongoing entitlement to paid coaching services unless otherwise agreed in writing.

The Coach reserves the right to suspend, postpone, or terminate coaching services where fees remain unpaid beyond the agreed payment terms.

Any outstanding fees remain payable notwithstanding suspension or termination of this Agreement.

5. Procedure

Coaching session times, dates, and locations will be determined by mutual agreement.

The Coach will initiate scheduled calls unless otherwise agreed.

If the Client is unavailable or fails to attend within ten (10) minutes of the scheduled commencement time, the session may be forfeited or rescheduled at the Coach's discretion.

6. Confidentiality

By entering into this Agreement, the Client consents to the Coach collecting, storing, and using personal information for the purpose of providing coaching services.

Information shared verbally or in writing will be treated as confidential in accordance with this Agreement and the ICF Code of Ethics.

Personal information will be stored securely using reasonable safeguards and accessed only where necessary for coaching, legal, professional, administrative, or compliance purposes.

The Client acknowledges that coaching is not a legally privileged relationship and that communications do not attract the same legal protections that may apply to communications with lawyers, medical practitioners, psychologists, psychiatrists, or other regulated healthcare professionals.

The Coach agrees to maintain confidentiality except:

  • Where disclosure is required by law.

  • Where there is an imminent or likely risk of harm.

  • Where disclosure is necessary to comply with legal, ethical, regulatory, or professional obligations.

  • Where otherwise permitted by law.

The Coach shall not be liable for disclosures made in good faith pursuant to this clause.

Confidential information does not include information that is publicly available, independently developed, lawfully obtained from a third party, or required to be disclosed by law.

7. Release of Information

The Coach engages in training and continuing education for the purpose of obtaining or maintaining professional coaching credentials.

The Client acknowledges that limited information, including the Client's name, contact information, and coaching commencement and completion dates, may be disclosed where reasonably required for credential verification purposes.

Topics may be discussed anonymously with coaching supervisors, mentors, trainers, assessors, or coaching professionals for training, mentoring, supervision, or credentialing purposes, provided reasonable efforts are made to remove identifying information.

No session recordings or identifiable session content will be disclosed without the Client's consent unless otherwise required by law.

8. Record Retention Policy

Records may be maintained by the Coach in physical and/or electronic form for approximately twelve (12) months following the end of the coaching relationship or for any longer period required by law.

Records are retained solely for coaching administration, legal compliance, professional standards, credentialing, insurance, and record-keeping purposes.

9. Intellectual Property and Recordings

All coaching materials, worksheets, exercises, frameworks, templates, guides, recordings, resources, presentations, written materials, and other content provided by the Coach remain the intellectual property of the Coach unless otherwise stated.

Coaching sessions, workshops, webinars, group programs, or other educational offerings may be recorded where Clients have been advised that recording will occur.

All recordings remain the intellectual property of the Coach.

The Client may not record coaching sessions, workshops, calls, webinars, group programs, or any other coaching interactions without the Coach's prior written consent.

Coaching materials, recordings, worksheets, frameworks, session transcripts, guides, resources, proprietary methodologies, and other content provided by the Coach may not be uploaded to artificial intelligence systems, language models, machine learning systems, training databases, or similar technologies for reproduction, redistribution, analysis, commercialisation, training, or other purposes without the Coach's prior written consent.

Any unauthorised use of such materials may constitute a breach of this Agreement and infringement of the Coach's intellectual property rights.

Where recordings or materials are provided to the Client, they are supplied solely for the Client's personal use and may not be copied, reproduced, distributed, shared, sold, licensed, published, modified, or made available to any third party without the Coach's prior written consent.

Where recordings or materials are provided to the Client, they are supplied solely for the Client's personal use and may not be copied, reproduced, distributed, shared, sold, licensed, published, modified, or made available to any third party without the Coach's prior written consent.

11. Cancellation Policy

The Client agrees that it is the Client's responsibility to provide at least twenty-four (24) hours' written notice by email or text message if a scheduled coaching session needs to be cancelled or rescheduled.

Where less than twenty-four (24) hours' notice is provided, or where the Client fails to attend a scheduled session, the Coach reserves the right to charge for the session or deem the session forfeited.

The Coach may, at the Coach's sole discretion, offer a rescheduled session.

12. Termination

The coach reserves the right to refuse, suspend, postpone, or discontinue coaching services where the Coach reasonably believes the coaching relationship is no longer appropriate, productive, safe, aligned with professional standards, or within the Coach's scope of practice.

Either party may terminate this Agreement at any time by providing written notice, including notice by email, to the other party.

The Coach may terminate this Agreement immediately if the Coach reasonably believes that continuation of coaching may cause harm, falls outside the Coach's scope of practice, is no longer appropriate, or where the professional relationship has broken down.

Termination does not affect any fees already paid or owing for services rendered up to the date of termination unless otherwise agreed in writing or required by law.

13. Limitation of Liability

To the maximum extent permitted by law, except as expressly provided in this Agreement, the Coach makes no guarantees, representations, or warranties of any kind, whether express or implied, regarding the coaching services provided.

The Client acknowledges that coaching outcomes vary between individuals and that the Coach does not guarantee any particular personal, professional, business, financial, relationship, health, or other outcome.

The Coach shall not be liable for any indirect, consequential, incidental, special, exemplary, or punitive damages arising from or relating to the coaching relationship or services provided.

Notwithstanding any damages that the Client may incur, the Coach's total liability under this Agreement, and the Client's exclusive remedy, shall be limited to the amount actually paid by the Client to the Coach under this Agreement for coaching services rendered up to and including the date of termination.

This limitation applies to all claims whether arising in contract, tort, negligence, equity, statute, or otherwise.

Nothing in this Agreement excludes, restricts, or modifies any consumer guarantees or rights that cannot be excluded under Australian Consumer Law.

14. Indemnity

To the maximum extent permitted by law, the Client agrees to indemnify and hold harmless the Coach from and against any claims, liabilities, losses, damages, costs, expenses, or legal fees arising from:

  • The Client's breach of this Agreement.

  • The Client's participation in coaching.

  • Decisions, actions, or omissions taken by the Client.

  • The Client's violation of any applicable law.

This indemnity survives termination of this Agreement.

15. Force Majeure

Neither party shall be liable for any delay or failure to perform obligations under this Agreement where such delay or failure results from circumstances beyond their reasonable control, including but not limited to illness, internet outages, power failures, natural disasters, government actions, pandemics, labour disputes, acts of third parties, or other unforeseen events.

Where reasonably practicable, the affected party shall notify the other party as soon as possible.

16. Electronic Communications

The Client acknowledges that communications conducted by email, telephone, video conferencing platforms, messaging applications, text message, or other electronic means may not be completely secure.

The Client accepts the inherent risks associated with electronic communications and agrees that the Coach shall not be liable for unauthorised access, interception, corruption, delay, or loss of electronic communications beyond the Coach's reasonable control.

The Client is responsible for ensuring that their contact details remain current and accurate.

17. Dispute Resolution

The parties agree to attempt to resolve any dispute arising from or relating to this Agreement through good faith discussion and negotiation before commencing legal proceedings.

If a dispute cannot be resolved through negotiation, the parties agree to attempt to resolve the dispute through mediation before commencing court proceedings, except where urgent interlocutory relief is required.

Mediation shall be conducted in Western Australia unless otherwise agreed in writing.

Each party shall bear its own costs associated with mediation unless otherwise agreed.

If the dispute remains unresolved following mediation, either party may commence legal proceedings.

Nothing in this clause prevents either party from seeking urgent injunctive or equitable relief where necessary.

18. Entire Agreement and Relationship with Other Documents

This Agreement reflects the entire agreement between the parties and constitutes a complete understanding of the parties with respect to the subject matter of this Agreement.

This Agreement supersedes all prior written and oral discussions, representations, negotiations, understandings, and agreements relating to the coaching relationship.

This Agreement may only be amended, altered, or supplemented by a written document signed by both parties.

Where the Client is also subject to the Coach's Terms and Conditions, Disclaimer, Privacy Policy, website policies, program terms, or other written policies, those documents shall be read together with this Agreement.

In the event of any inconsistency between this Agreement and any Terms and Conditions, Disclaimer, Privacy Policy, website policy, program terms, or other written policy of the Coach, this Coaching Agreement shall prevail to the extent of the inconsistency.

19. Severability

If any provision of this Agreement is found to be invalid, unlawful, or unenforceable by a court of competent jurisdiction, that provision shall be severed to the extent necessary.

The remainder of this Agreement shall continue in full force and effect and shall remain valid and enforceable.

Where possible, any invalid or unenforceable provision shall be interpreted in a manner that most closely reflects the original intent of the parties while remaining legally enforceable.

20. Waiver

The failure of either party to enforce any provision of this Agreement shall not constitute a waiver of that provision or any other provision.

No waiver shall be effective unless made in writing.

A waiver of any breach shall not constitute a waiver of any subsequent breach.

21. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of Western Australia and the Commonwealth of Australia.

Any dispute, claim, or proceeding arising from or relating to this Agreement, the coaching relationship, or the services provided shall be subject to the exclusive jurisdiction of the courts of Western Australia.

22. Binding Effect

This Agreement shall be binding upon and inure to the benefit of the parties and their respective successors, personal representatives, and permitted assigns.

The Client may not assign, transfer, delegate, or otherwise dispose of any rights or obligations under this Agreement without the prior written consent of the Coach.

23. Execution and Electronic Acceptance

By signing below, the parties acknowledge that they have read, understood, and agree to be bound by the terms of this Coaching Agreement.

This Agreement may be executed electronically and in counterparts, each of which shall be deemed an original and together shall constitute one and the same agreement.

Electronic signatures and electronic acceptance shall have the same legal effect as an original handwritten signature.
